Responsibilities
Company secretarial:
- Ensuring PZCN complies with applicable corporate governance requirements and laws in connection with its status as a listed company;
- Monitoring PZCN share register movements;
- Provision of subsidiary company secretarial services, corporate governance, transaction advisory, compliance with statutory filings;
- Supporting PZCN board and committee meetings;
- Organising PZCN’s annual general meeting and leading preparation of its annual report;
- Establishing and managing relationships with PZCN retail and top shareholders;
Legal & compliance:
- Provison of legal advisory services to ensure that the companies and their subsidiaries are compliant with applicable laws; management of litigation and disputes; advising on complex commercial contracts and managing legal risks;
- Ensure compliance with data protection including Nigeria Data Protection Regulation (NDPR);
- Protect our IP portfolio in Africa, working with the PZC group head of intellectual property;
- Establish and manage relatonships with government departments and regulators including the CAC, SEC, NGX, NAFDAC and NOTAP.
- Ensure the company’s Code of Ethical Conduct policies are embedded and complied with and investigations are conducted appropriately;
Other:
- Oversee the company’s property portfolio ensuring titles are properly maintained and protected, statutory payments are made and records updated, and supporting the lease or sale of unused properties; and
- Other relevant assignments that may be assigned by members of the Board and management leadership team.
Qualifications / Skills Requirements
- B.L, LL.B
- Membership of Institute of Chartered Secretaries and Administrators (ICSAN) or other qualification as required by CAMA 2020
- Be proficient with MS Word, Excel and Powerpoint (Good Presentation Skills)
- Sound knowledge of commercial law and corporate governance
- Excellent communication skills (verbal and written).
- Ability to influence, impact and convince others
- Collaborate and able to work well as part of a diverse team.
- 8+ years’ work experience as a practicing lawyer
- Previous experience inhouse highly desirable
- Previous experience with an international company, or working internationally, beneficial
